These Terms of Service ("Terms") govern your access to and use of the website www.synedica.org (the "Site") and the purchase of any products supplied by Synedica Laboratories ("Synedica", "we", "us", or "our"). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use the Site or purchase our products.

1. Research Use Only

All products sold through www.synedica.org are supplied strictly as laboratory research chemicals for in-vitro research and development use only. They are not drugs, foods, cosmetics, medical devices, or dietary supplements, and are not intended for human or veterinary use, diagnostic use, or any form of consumption or administration to humans or animals. By ordering, you certify that you are a qualified researcher or institution and that you will handle, store, and dispose of all products in accordance with applicable laws and good laboratory practice.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and legally permitted to purchase research chemicals to place an order. You are responsible for ensuring that the purchase, importation, and possession of any product is lawful in your country, state, or region before ordering.

3. Products, Pricing & Currency

We make every effort to display product descriptions, batch documentation, and pricing accurately. Prices are listed in GBP by default and may be displayed in USD, EUR, or BRL using an automatic, indicative currency conversion. Converted prices are provided for convenience only; the final charge is processed in GBP and your bank or payment provider determines the exact exchange rate and any fees applied at checkout. We reserve the right to correct errors, change prices, and update product availability at any time without prior notice.

4. Orders & Acceptance

Your submission of an order constitutes an offer to purchase. All orders are subject to acceptance and availability. We may refuse or cancel any order at our sole discretion, including where we suspect the product may be misused, where stock is unavailable, or where a pricing or product error has occurred. A contract is formed only when we dispatch the products.

5. Payment

Payment must be made in full at the time of ordering through the payment methods made available on the Site. You warrant that you are authorised to use the payment method provided and that sufficient funds are available. All transactions are processed securely by our third-party payment providers.

6. Shipping & Cold-Chain Delivery

We dispatch worldwide using temperature-controlled, cold-chain logistics where appropriate to protect product integrity. Orders placed before the daily cut-off may qualify for same-day dispatch. Delivery timeframes are estimates only and we are not liable for delays caused by carriers, customs, or events outside our reasonable control. Title and risk in the products pass to you on delivery. You are the importer of record and responsible for any import duties, taxes, and compliance in your destination country.

7. Returns & Refunds

Due to the sensitive nature of research materials and cold-chain integrity, products cannot be returned once dispatched, except where they arrive damaged, defective, or not as described. You must notify us at [email protected] within 7 days of delivery with supporting evidence (photographs and batch number). Approved claims will be replaced or refunded at our discretion.

8. Disclaimer of Warranties

Products are provided "as is" for research purposes. Beyond the purity and batch specifications published for each product, we make no warranties, express or implied, regarding fitness for any particular purpose, merchantability, or results of any research. Any information on the Site, including in the Knowledge Hub, is provided for educational and informational purposes only and does not constitute medical, legal, or professional advice.

9. Limitation of Liability

To the fullest extent permitted by law, Synedica shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss arising from misuse of the products. Our total liability for any claim shall not exceed the amount paid by you for the product giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Indemnification

You agree to indemnify and hold harmless Synedica, its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your misuse of the products, your breach of these Terms, or your violation of any applicable law or regulation.

11. Intellectual Property

All content on www.synedica.org, including text, graphics, logos, the Synedica name and marks, product imagery, and documentation, is the property of Synedica or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or redistribute any content without our prior written consent.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, where Synedica Laboratories is established, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the competent courts of Leipzig, Germany, save where mandatory local consumer law provides otherwise.

13. Changes to These Terms

We may update these Terms from time to time. The version published at www.synedica.org at the time of your order applies to that order. Continued use of the Site after changes constitutes acceptance of the revised Terms.
